Introduction

This document is an electronic record in terms of the Information Technology Act, 2000 (as may be amended, modified, re-enacted, consolidated or replaced from time to time) and rules pertaining to electronic records in various statutes as applicable and amended from time to time, and is published in accordance with the provisions of Rule 3 of the Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 which mandates the publishing of rules and regulations, privacy policy and the terms and conditions for access or usage of the website, namely, http://infranow.in (hereinafter referred to as the “Website”).

For the purpose of these terms of use (“Terms of Use”), wherever the context so requires, "You", "User" or “Your” shall mean any natural or legal person who has agreed to register/sign up by providing data required to register on the Website (“Member”) and/or any other person who browse and/or access and/or use the Website. The terms "Infra Now", "We", "Us", "Our", “Website”, “InfraNow”, “Infra Now” , “Infranow” shall mean Infra Now, a product of Optimizing Resources Private Limited, having its registered office at K No. 96, Kaggadaspura Main Road, CV Raman Nagar, Bangalore 560093 and other office at 164, 9th Cross Rd, First Stage, Hoysala Nagar, Indiranagar, Bengaluru, Karnataka- 560038 and its affiliates.

Users understand that Infra Now shall remain the sole owner of the Website and these Terms of Use along with Buyer’s Terms of Use, Seller’s Terms of Use, Cancellation Policy, Return, Refund and Replacement Policy Privacy Policy, Cookie Policy, Disclaimer and such other policies as may be formulated by Us from time to time (collectively “Infra Now’s Policies”) which shall constitute a legally binding obligation between the User and Infra Now.

The User by accessing, browsing or using the Website (including creating an account) and by providing any information through the Website impliedly or expressly hereby accepts these Terms of Use and enters into a legally binding contract with Infra Now. It is thereby acknowledged that the User has read, understood these Terms of Use and is bound by them, regardless of how the User or anyone on User’s behalf has accessed or used the Website. If the User does not want to be bound by the Terms of Use, they must not browse, access and/or use the Website in any manner whatsoever.

  1. SERVICES

    Infra Now, inter alia, acts as a platform that connects buyers and sellers inclined towards rental and sale of warehousing infrastructure such as racks, pallets, hand pallet trucks, battery operated pallet trucks, etc. (“Services”). We may in Our sole discretion, discontinue the Services or modify the features of the Services without prior notice.

  2. REGISTRATION
    1. The access to certain features of the Website may only be available to registered User(s). The process of registration may require the User to provide certain information that may or may not be personal in nature. Some such fields may be mandatory or optional.
    2. You may sign up and/or register Yourself and create an account with the Website and in order to avail Services available on the Website. In order to register Yourself and/or sign up, You will be required to furnish certain information and details, including Your name, mobile number, e-mail address and any other information deemed necessary by the Website (“Registration Data”). The User agrees to be responsible for maintaining the confidentiality of the user ids, passwords or other account identifiers and all activities that occur under User’s account.
    3. Further, in the event the User is unable to register/sign-up through the registered email id, he/she/it must promptly inform the Infra Now about the same by sending us and email at infra@warehousenow.in.
    4. Persons who are "competent/capable" of contracting within the meaning of the Indian Contract Act, 1872 shall be eligible to register and sign up on the Website. Persons who are minors, un-discharged insolvents, etc. are not eligible to register on the Website. As a minor, if You wish to use the Website, such use shall be made available to You by Your legal guardian or parents, who have agreed to these Terms of Use. In the event a minor utilizes the Website, it is assumed that he/she has obtained the consent of the legal guardian or parents and such use is made available by the legal guardian or parents. Infra Now will not be responsible for any consequence that arises as a result of misuse of any kind of Our Website that may occur by virtue of any person including a minor browsing and/or registering on the Website. You acknowledge that Infra Now does not have the responsibility to ensure that You conform to the aforesaid eligibility criteria. It shall be Your sole responsibility to ensure that You meet the required qualification. Any persons under the age of 18 (eighteen) should seek the consent of their parents/legal guardians before providing any information about themselves or their parents on the Website.
    5. Further, if the User is a:
      1. natural person any reference thereof shall, include his/her heirs, executors and permitted assignees; or
      2. juristic person, any reference thereof shall include its affiliates, successors and permitted assignees, unless repugnant to the context.
    6. By registering and creating an account, You agree that:
      1. It is Your sole responsibility to ensure that the Registration Data provided by You is accurate, complete and latest.
      2. You shall be responsible for maintaining the confidentiality of the account information and for all activities that occur under Your account.
      3. You shall immediately notify Infra Now of any unauthorized use of Your account. If there is reason to believe that there is likely to be a breach of security or misuse of User account, we may request You to change the password or we may suspend the account without any liability to Infra Now, for such period of time as we deem appropriate in the circumstances. Infra Now shall not be liable for any loss or damage arising from Your failure to comply with this provision.
      4. You acknowledge that Your ability to use the account is dependent upon external factors such as internet service providers and internet network availability and Infra Now cannot guarantee accessibility to the Website at all times. In addition to the disclaimers set forth in the Terms of Use, Infra Now shall not be liable for any damages arising from Your inability to log into the account and/or access the Services of the Website at any time.
      5. Upon registration through any means whatsoever, Infra Now may contact You through the registered e-mail id or any other mobile number or contact number or email provided by You to enable effective use of Website. You expressly permit Infra Now to contact You, through the above mentioned means at any time. Further, Infra Now shall have the right to monitor the download and usage of the Website and the contents thereof, to analyze such usage and to enable effective and efficient usage of the Website.
  3. PURCHASE OR RENT OF PRODUCTS
    1. All products and information displayed on the Website constitute an "invitation to offer". Availing any Service on the Website shall constitute an "offer" which shall be subject to the terms and conditions as detailed in these Terms of Use and other Infra Now Policies. Infra Now may accept or reject User’s offer in its sole discretion which cannot be contested by the User.
    2. Once the request is placed it is an express intention to purchase or rent the product and the same may not be cancelled except as per the process stated on the Website. Based on the information provided by the User, the request will be accepted by Infra Now for processing and the same will be confirmed via Website/e-mail.
    3. The images of the products shown on the Website are for visual representation only and the color/size of the actual product may vary from its visual representation on the Website.
    4. Infra Now does not warrant that product description or other content on the Website is accurate, complete, reliable, current, or error-free and to the extent permissible in law, disclaims complete liability in this regard.
    5. Infra Now shall not be responsible if some purchase or rent request is not registered or is lost due to any network problems such as breakdown of machinery, unclear/ disruption in the network or non-receipt of payment from banks/payment gateways and/or the cost(s) charged by the network operator(s). Any dispute in connection to the same shall be settled between the buyer and the network operator without involving Infra Now.
    6. The purchase or rent of products from this Website by You, does not transfer/ensure any of the intellectual property rights or other proprietary rights related to the products, their design or concepts to You.
  4. PRICING AND PAYMENT
    1. Infra Now aims to ensure that prices of all products offered for sale or rent are true and correct. However, from time to time, the prices of certain products may not be current or may be inaccurate on account of technical issues, typographical errors or incorrect product information. In each such case and in case of non-availability of the product, notwithstanding anything to the contrary, Infra Now reserves the right to cancel the order without any further liability save and except for the refund of any amount charged against it.
    2. Any discounts/offers provided on the Website shall also be subject to the terms of the said discount/offer along with these Terms of Use and other Infra Now Policies.
    3. Shipping and handling rates may vary based on product, packaging, size, volume, type and other considerations. The shipping and handling charges are given at the time of check out and the User shall be made aware of the same before making payment.
    4. Prices are subject to change without any notice. All prices on this Website are in Indian Rupees. For international cards used on the Website, the banks applicable exchange rate and charges will apply. We have no jurisdiction on this and any disputes or queries on exchange rates and bank charges need to be directed to the bank or institution that issued Your card or payment instrument. All orders are acknowledged at current pricing. We will bill at price in effect at the time of receipt of money and raising of an invoice.
    5. Infra Now accepts online payment via credit card, debit card and net banking. The User is solely responsible for all charges owed for all products purchased or rented through the Website.
    6. The User agrees, understands, confirms and states that the payment details provided by the User to transact on the Website will be correct, accurate and is owned by the User. In the event User uses a card/net banking account belonging to any third party, then, User confirms that User has been authorized to or expressly permitted by such third party to use such card/net banking account for making payment. The liability for use of a card fraudulently will solely be on the User and the onus to 'prove otherwise' shall be exclusively on the User.
    7. User shall be solely responsible for compliance of all applicable laws for making payments to Infra Now. In addition to all other remedies available under law and equity and as detailed under these Terms of Use, Infra Now reserves the right to recover any and all costs, expenses, charges, damages of any nature whatsoever, from any User using the Website fraudulently. Further, Infra Now reserves the right to initiate legal proceedings against such persons for fraudulent use of the Website and any other unlawful acts or acts or omissions in breach of these Terms of Use.
  5. USAGE OF THE WEBSITE
    1. Your use of the Website is solely for Your personal and non-commercial use. Any use of the Website or their contents other than for personal purposes is prohibited.
    2. You will not (a) use the Website for commercial purposes of any kind, or (b) advertise or sell the Website or domain names or otherwise (whether or not for profit), or solicit others (including, without limitation, solicitations for contributions or donations) or use any public forum for commercial purposes of any kind, or (c) use the Website in any way that is unlawful, or harms Infra Now or any other person or entity affiliated with Infra Now.
    3. You shall not download any content unless there is an express permission or link on the Website such as “download” or similar link to download the content. You may not decompile, reverse engineer, or disassemble the contents of the Website or modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information or software obtained from the Website, or remove any copyright, trademark registration, or other proprietary notices from the contents of the Website.
    4. You agree not to access or download the content through any technology or means other than the Website itself. You will not scrape, spider, use a robot, or use other automated means of any kind to access the Website/Services.
    5. You shall not attempt to gain unauthorised access to other users’ accounts, servers or networks connected to Infra Now Website by any means and are permitted to use only the User interface provided by Infra Now.
    6. You will not do any of the following while browsing, accessing or using the Website and/or Services:
      1. access, tamper with, or use non-public areas of the Website, Infra Now’s computer systems, or the technical delivery systems of Infra Now’s service providers;
      2. attempt to discover any source code of or content on the Website or Services;
      3. access or search or attempt to access or search Our Website by any means (automated or otherwise) other than through Our currently available search functionalities that are provided via Our Website;
      4. in any way use the Website to send altered, deceptive, or false source-identifying information (such as sending email communications falsely appearing as Infra Now); or interfere with, or disrupt, (or attempt to do so), the access of any user, host, or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the platforms or services, or in any other manner interfering with or creating an undue burden on the Website; and
      5. circumvent, disable or otherwise interfere with security-related features of the Website or features that prevent or restrict use or copying of any content or enforce limitations on use of the Website therein or probe, scan, or test the vulnerability of any of Our systems.
      6. misuse the Website by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful.
  6. CONTENT
    1. The content of the Website, including without limitation, text, copy, audio, video, photographs, illustrations, graphics and other visuals, is for informational purposes only. Reliance on any information appearing on the Website, whether provided by Infra Now, independent professionals/consultants/experts, visitors to the Website or others, is solely at the User’s own risk. THE INFORMATION ON THE WEBSITE IS NOT INTENDED FOR, OR TO REPLACE ANY PROFESSIONAL ADVICE. BY USING THE WEBSITE, YOU AGREE TO USE THE WEBSITE FOR THE INTENDED INFORMATION AND COMMUNICATION PURPOSES ONLY AND PARTICULARLY NOT FOR ANY OTHERPURPOSE.
    2. The User may be able to link from the Website to third party sites and third-party sites may link to the site (“linked sites”). The User acknowledges and agrees that We have no responsibility for the information, content, products, services, advertising, code or other materials which may or may not be provided by or through linked sites. Links to linked sites do not constitute an endorsement or sponsorship by Us of such sites or the information, content, products, services, advertising, code or other materials presented on or through such sites. Infra Now disclaims any liability for links (1) from another site to this Website and (2) to another site from this Website. We cannot guarantee the standards of any site to which links are provided on this Website, nor will be held responsible for the contents of such sites, or any subsequent links. We do not represent or warrant that the contents of any third-party site are accurate, compliant with applicable law, or compliant with copyright or other intellectual property laws. Also, We are not responsible for any form of transmission received from any linked site. Any reliance on the contents of a third-party site is done at the User’s own risk and the User assumes all responsibilities and consequences resulting from such reliance.
    3. Infra Now respects the intellectual property rights of others. If You notice any act of infringement on the Website, You are requested to send Us a written notice/ intimation which must include the following information;
      1. clear identification of such copyrighted work that You claim has been infringed;
      2. location of the material on the Website, including but not limited to the link of the infringing material;
      3. The proof that the alleged copyrighted work is owned by You;
      4. Contact information;

  7. CONDUCT
    1. Your use of the Services and conduct on the Website must comply with applicable laws. You are solely responsible for the knowledge of and compliance with such laws and regulations that are applicable to You.
    2. You are responsible for Your activities (including placing an order for a product and making payment thereupon) on the Website. In addition to any restrictions in the Terms of Use, You agree that You will not:
      1. engage in any activity that would require Infra Now to obtain licenses from or pay royalties to any third party;
      2. impersonate another person, gain unauthorized access to another User’s account, or otherwise deceive or mislead others about the origin of the content or information; or
      3. abuse Infra Now’s resources, including support services
    3. Without limitation, transmit, or cause to be transmitted, any communication or solicitation or other "phishing", "pharming" or "whaling" message designed or intended to obtain password, account, personal information, confidential information or private information from any User of the Website or any other third party whatsoever. However, if any such event does take place, Infra Now shall not be liable for any loss of data or if the User’s device, computer or any other property is compromised in any manner.
    4. You acknowledge and agree that Infra Now has the right to report any and all suspicious or illegal activity which shall come into Infra Now’s knowledge, to the appropriate legal or police authorities without notice to You.
  8. INTELLECTUAL PROPERTY RIGHTS
    1. The Website, contents and Services are owned and operated by Infra Now. All content or other material available on the Website, including but not limited to video, presentation materials, and other images, text, layouts, arrangements, displays, illustrations, documents, materials, audio and video clips, HTML and files, are the property of Infra Now and/or its affiliates or licensors, and are protected by copyright, patent and/or other proprietary intellectual property rights under Indian and foreign laws. All software used on the Website is the property of Infra Now and is protected by Indian and international copyright laws.
    2. Infra Now’s logos, trademarks and service marks that may appear on the Website (“Infra Now Marks”) are the property of Infra Now or its affiliates and are protected under Indian and foreign laws. Unless otherwise indicated or anything contained to the contrary or any proprietary material owned by a third party and so expressly mentioned, Infra Now owns all intellectual property rights to and into the trademark “Warehouse Now” and the Website including, without limitation, any/all rights, title and interest in and to trade names, service marks, logos, domain name, copyright, related rights, patents, utility models, designs, know-how, trade secrets, designs, graphics and inventions, goodwill, source code, meta tags, databases, text, content, graphics, icons, and hyperlinks. In addition, elements of the Website are protected by trade dress and other Indian and international intellectual property laws and may not be copied, reproduced, downloaded or distributed in any way in whole or in part without the express written consent of Website.
    3. Nothing on the Website shall be deemed to confer a license of or any other right, interest or title to or in any of the intellectual property rights belonging to Infra Now, to the User.
    4. Certain contents on the Website may belong to third parties, You recognize and acknowledge that the ownership of all trademarks, copyright, logos, service marks and other intellectual property owned by any third party shall continue to vest with such third party and You are not permitted to use the same without the consent of the respective third party.
  9. SYSTEM REQUIREMENTS

    Infra Now’s Services including the Website and content are compatible only with certain devices/tablets/instruments/hardware with high-speed internet and certain software. Infra Now shall not be obligated to provide workable products and/or services for any instruments that are not recognized by Infra Now or those instruments that may be purchased from any third party which are not compatible with the Infra Now’s Services. Infra Now reserves the right to upgrade the type of compatible devices as required from time to time.

  10. LIMITATION OF LIABILITY AND INDEMNIFICATION
    1. Users shall access the Website voluntarily and at their own risk. Infra Now shall to the fullest extent permitted by law, under no circumstances, be held responsible or liable on account of any direct, indirect, incidental, special, punitive, consequential loss or damage sustained (including but not limited to any accident, injury, death, loss of property) by Users or any other person or entity from any (i) errors, mistakes, or inaccuracies of the content available on the Website, (ii) personal injury or property damage, of any nature whatsoever, resulting from Your access to and/or use of the Website, (iii) any unauthorized access to or use of Our secure servers and/or any and all personal information and/or financial information stored therein, (iv) any interruption or cessation of transmission to or from the Website, (iv) any bugs, viruses, trojan horses, malware or the like, which may be transmitted to or through Our Website by any third party, (v) use of any Service or any products sold or rented by way of the Service and/or (vi) any errors or omissions in any content for any loss or damage of any kind incurred as a result of Your reliance on or use of any content emailed, transmitted, or otherwise made available via the Website, whether based on warranty, contract, tort, or any other legal theory, and whether or not Infra Now is advised of the possibility of such damages. It is expressly understood that Infra Now shall have no liability under these Terms of Use.
    2. Users shall be solely responsible for any consequence which may arise due to their access and use of the Website, including conducting an illegal/fraudulent act or non-conformity with these Terms of Use and Infra Now Policies in relation to the Website, including provision of incorrect address or Registration Data.
    3. You agree to defend, indemnify and hold harmless Infra Now, its officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) Your use of and access of the Website; (ii) Your violation of any term of these Terms of Use or Infra Now Policies ; (iii) Your violation of any third party right, including without limitation, any copyright, property, or privacy right; or (iv) any claim that Your use of the Website has caused damage to a third party.
    4. In the event of Your breach of these Terms of Use, You agree that Infra Now will be irreparably harmed and may not have an adequate remedy in money or damages. Infra Now therefore, shall be entitled in such event to obtain an injunction against such a breach from any court of competent jurisdiction. Infra Now’s right to obtain such relief shall not limit its right to obtain other remedies.
    5. The User expressly acknowledge that while Infra Now endeavours to ensure that products are of good quality and manufactured sustainably, we cannot make any representation in this regard. You are responsible for paying for all products in Your cart, unless the products are returned to Us in the manner specified in the Shipping and Return/Refund Policy or such other policy as Infra Now may enact from time to time, including any amendment therein.
  11. SUSPENSION, CANCELLATION OF SUBSCRIPTION AND TERMINATION OF ACCOUNTS
    1. You agree that Infra Now, in its sole discretion, may deactivate/suspend Your account or otherwise terminate Your use of the Website with or without reason, including, without limitation, if Infra Now believes that You have (a) breached the Terms of Use; or (b) infringed the intellectual property rights of Infra Now or its affiliates; or (c) violated any applicable laws; or (d) used the Website in a way which disrupts Our business operations or affects any other party; or (e) violated or acted inconsistently with the letter or spirit of these Terms of Use or Infra Now Policies or any other applicable code of conduct or policy issued by Infra Now. In this regard, You agree that Infra Now will have no liability to You or any third party for termination of Your account, cancellation or suspension or blocking of Your access to the Website and Service.
    2. Infra Now may suspend Your access to the Website or require You to change Your password if Infra Now believe that the Website has been or is likely to be misused, and Infra Now will notify You accordingly.
  12. WARRANTIES
    1. The Services and the products on the Website are provided on an “as is” and “as available” basis for Your use, without any representations, warranties or conditions of any kind, either expressly or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability and Infra Now assumes no liability for the accuracy or completeness or use or non-obsolescence of any information on the Website. Infra Now shall not be liable to update or ensure continuity of information or content contained on the Website. Infra Now would not be responsible for any errors, which might appear in such information, which is compiled from third party sources or for any unavailability of such information or content on the Website. Infra Now makes no warranties that the (i) Service will be uninterrupted, timely, secure or error free; (ii) the quality of products, services, information will meet Your expectation.
    2. From time to time the Website may also include links to other website(s). These links are provided for Your convenience to provide further information. They do not signify that Infra Now endorse the website(s). Infra Now assumes no responsibility for the content of the linked website(s). You may not create a link to the Website from another website or document without Infra Now’s prior written consent.
    3. Infra Now reserves the right and discretion to make any changes/corrections or withdraw/add contents at any time without notice. Neither Infra Now nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials found or offered on the Website for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.
    4. In the preparation of the Website and contents therein, every effort has been made to offer the most current, correct, and clearly expressed information possible. Nevertheless, inadvertent errors may occur. In particular, but without limiting anything here, Infra Now disclaims any responsibility for any errors and accuracy of the information that may be contained on the Website. Any feedback from User is most welcome to make the Website and contents thereof error free and user friendly.
    5. While Infra Now has made efforts to train the personnel engaged in the Service relating to the Website to enable quality control, Infra Now makes no warranties or representations whatsoever regarding the quality and competence of such personnel and would not be responsible for any deviant behaviour of any such personnel. Any feedback from User relating to the same is most welcome and Infra Now reserves the right and discretion to take any action in this regard.
  13. FAKE CALLS AND OTHER SIMILAR PHISHING, SPAMMING OR FRAUDULENT ACTIVITIES

    Infra Now’s employees or authorized representatives will never contact a User asking for User’s credit or debit card number, expiry date, CVV, net banking login, passwords, OTP, etc. Further, We will never request for a fund transfer to a personal or an individual bank account. We will also not ask a User to install any third-party applications that enable You to view Your’s mobile or computer screen. Acting on any of these requests may make You a victim of fraud and may potentially lead to loss of Your valuable money or information. If You are ever asked for any of the aforesaid information, please report it immediately on infra@warehousenow.in.

  14. ELECTRONIC COMMUNICATIONS

    Infra Now will send product confirmation, cancellation, payment confirmation, refund status, or any such other information relevant for the Services made by the User, via SMS, voice call, e-mail or any other alternate communication detail provided by the User at the time of purchase.

    Infra Now may also contact the User through the modes mentioned above for any pending or failed transaction, to know the preference of the User for concluding the sale and also to help the User for the same.

    The User hereby unconditionally consents that such communications via SMS, voice call, email or any other mode by Infra Now are:

    1. upon the request and authorization of the User; and
    2. ‘transactional’ and not an ‘unsolicited commercial communication’ in compliance of the applicable laws.

    The User also understands that he/she will always have an option of withdrawing the consent as set out above. User will have an unconditional right to opt out of receiving messages and email including but not limited to communications that are of marketing in nature by simply writing to Infra Now on infra@warehousenow.ininfra@warehousenow.in or by amending the notification settings in User’s account profile settings.

    When You use the Website or send emails or other data, information or communication to Infra Now, You agree and understand that You are communicating with Infra Now through electronic records and You consent to receive communications via electronic records from Infra Now periodically and as and when required.

  15. FORCE MAJEURE

    Infra Now shall not be responsible for any delay or failure of Our performance of any of Services or obligations caused by events beyond reasonable control, including but not limited to events such as act of war, hostility or sabotage; natural disaster; electrical, internet, or telecommunication outage; or government restrictions or regulations.

  16. GOVERNING LAW

    The Terms of Use shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Further, the Terms of Use shall be subject to the exclusive jurisdiction of the competent courts located in Bangalore, Karnataka and You hereby accede to and accept the jurisdiction of such courts.

  17. MODIFICATION AND AMENDMENT

    Infra Now has the right to change modify, suspend, or discontinue and/or eliminate any aspect(s), features or functionality of the Website as it deems fit at any time without notice. Further, Infra Now has the right to amend these Terms of Use from time to time without prior notice to You. Infra Now makes no commitment, express or implied, to maintain or continue any aspect of the Website. You agree that Infra Now shall not be liable to You or any third party for any modification, of the Website.

  18. COMPLAINTS

    Infra Now makes all best endeavours to provide User with a pleasant experience.
